Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “vendor”) and [Red Fig TechnologiesPvt. Ltd.] (“Shopoly”, “we”, “us”) governing your use of the Shopoly platform, dashboard, storefront, APIs, and any related services (collectively, the “Service”).

By signing up for an account or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Shopoly provides a subscription software platform that lets Indian vendors operate an online storefront, manage products, inventory and orders, accept payments through integrated providers, arrange shipping, and issue GST-compliant invoices.

We may add, modify, or remove features over time. Material changes that reduce functionality on your current plan will be communicated in advance.

• You must be at least 18 years old and legally able to enter into a contract under Indian law.
• You must be operating a lawful business and be authorised to bind that business to these Terms.
• You are responsible for the accuracy of the information you provide (name, GSTIN, PAN, bank details, etc.) and for keeping it current.
• You are responsible for all activity under your account, including for staff or partners you give access to.
• Keep your login credentials secure. Notify us immediately if you suspect unauthorised access.

Our current plans are:

• Basic — ₹399 per month, or ₹2,999 per year (billed once annually).
• AI Companion — an upcoming add-on with a separate fee, to be announced at launch.

Prices are in Indian Rupees and exclusive of GST unless stated otherwise. GST will be charged where applicable.

We may revise pricing with at least 30 days’ notice. Price changes take effect at your next renewal.

• Subscriptions are billed in advance — monthly or annually, based on the cadence you choose.
• Auto-renewal: subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can manage auto-renewal in your dashboard under Plan & Billing.
• We will email an invoice for every charge. Failed payments are retried; if all retries fail, your storefront may be paused after 7 days.
• All sales transactions through Razorpay are between you, your customer, and Razorpay. Shopoly does not collect or hold your sales revenue.

• You can cancel any time from the dashboard. Cancellation takes effect at the end of the current billing cycle — you keep access until then.
• Subscription fees are non-refundable except where required by law or expressly stated. Pro-rata refunds are not issued for partial months or unused days.
• If we have publicly advertised a money-back guarantee for a particular period, that guarantee will apply on its stated terms.
• We may issue refunds at our discretion in cases of duplicate or erroneous charges, or material service failure on our side.

You are solely responsible for:

• The legality of the products and services you sell, including all applicable licenses (FSSAI, drug & cosmetic, etc.).
• Accuracy of product descriptions, prices, images, stock, shipping times, and return policies.
• GST registration and compliance, KYC with Razorpay and Shiprocket, and any other regulatory obligations for your business.
• Customer relationships, including order fulfilment, returns, refunds, warranty claims, and customer support.
• Compliance with the Consumer Protection (E-Commerce) Rules, 2020 and any other applicable consumer law.
• Lawful collection and handling of customer personal data under the Digital Personal Data Protection Act, 2023, in respect of which you act as the data fiduciary.

You may not use Shopoly to:

• Sell items that are illegal under Indian law, including but not limited to narcotics, counterfeit goods, weapons, sexually explicit content, wildlife products, or restricted financial products.
• Host content that infringes intellectual property, defames, or promotes hate speech, violence, or discrimination.
• Engage in fraud, money laundering, deceptive pricing, fake reviews, or other unfair trade practices.
• Reverse engineer, scrape, overload, or attempt to gain unauthorised access to the Service.
• Use the Service to transmit malware or to phish, spam, or harass others.

We may investigate suspected violations and remove content, suspend, or terminate accounts that breach this section.

Shopoly integrates with third-party providers including, without limitation, Razorpay (payments), Shiprocket (shipping), and Anthropic (AI Companion). Use of these services is governed by their own terms and privacy policies, which you accept when you enable the relevant plugin.

We do not control these third parties and are not responsible for their actions, failures, fees, or downtime. Transaction fees, courier charges, and similar are billed by them directly to you.

AI Companion (Auto-fill from photos). If your plan includes AI Companion and you click “Auto-fill from photos”, the product images you select are transmitted to Anthropic's API for analysis. Anthropic processes the images solely to return product attributes, name, and description to us, and (per Anthropic's published policies at the time of writing) does not retain the images for model training. You are responsible for ensuring you have the right to share each image you submit. We log the image URLs, AI output, and cost for billing and quality audits; we do not share them beyond the AI provider.

Add product from URL. If you paste a product URL and tick the affirmation checkbox to import it, we (a) fetch the source page from our servers, (b) extract its title, description, price, and image URLs from the page's structured data, (c) send the extracted text and a trimmed HTML excerpt to Anthropic's API to rewrite the description into our format, and (d) download each source image and copy it into your Shopoly product gallery. By ticking the affirmation checkbox, you warrant that you own or have the legal right to use the title, description, and images on the source page, and that the import does not infringe any third party's intellectual property, trademark, or contractual rights. We record your IP address and browser User-Agent at the moment of affirmation alongside the source URL and a copy of the AI output, retained for audit and dispute response. Suspending or terminating your account for repeated copyright complaints is at our sole discretion.

The Shopoly platform, source code, designs, trademarks, and documentation are owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in line with your subscription. No other rights are granted.

You retain ownership of the content you upload to your storefront (product images, copy, brand assets). By uploading content, you grant Shopoly a licence to host, display, and process it as needed to provide the Service.

We may suspend or terminate your account, with or without notice, if:

• You breach these Terms.
• Your payment fails and is not cured within a reasonable period.
• We are required to do so by law or regulatory authority.
• We reasonably believe your account is being used for fraudulent, illegal, or harmful activity.

On termination, your storefront will go offline and your data will be retained for 90 days before deletion (subject to legal retention obligations). You may request an export of your data within that window.

You may terminate your subscription at any time as described in Section 8.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or perfectly secure, or that it will produce any particular business outcome for you.

To the maximum extent permitted by law, in no event will Shopoly, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.

Our aggregate liability for any claim under these Terms is limited to the total fees you paid to Shopoly in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be excluded under Indian law.

You agree to indemnify, defend, and hold harmless Shopoly and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

• Your products or services sold through Shopoly.
• Your breach of these Terms or applicable law.
• Content you upload to the Service.
• Disputes between you and your customers.

These Terms are governed by the laws of India. Subject to the dispute resolution process below, the courts at [Bengaluru, Karnataka] have exclusive jurisdiction.

Before initiating any legal proceeding, both parties will attempt to resolve disputes in good faith. Any unresolved dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be [Bengaluru, Karnataka] and the proceedings will be conducted in English.

We may update these Terms from time to time. When we make material changes, we will notify you by email and post the updated Terms with a new “Last updated” date. Continued use of Shopoly after a change means you accept the updated Terms.
